Yes it will

So the drop in K&N is just the intake?

No its just a filter that fits in your stock airbox.

Then it wont fit the V6 - the filter is different between the 4.6 and the 3.8.

the tear on the ruber is no big deal if im thinking of what your talking about. i got a K&N cold air intake and the ruber is only to block heat and a cut in it will not affect anything so anyone looking to get it it sounds like new good deal.
